Company Secretary & Legal Officer – Kenya:  Job Summary

We are seeking a highly competent and detail‑oriented Company Secretary & Legal Officer to support our expanding hospitality operations in Kenya. This role is ideal for a legal professional who excels in corporate governance, regulatory compliance, contract management, and organizational advisory. The successful candidate will play a critical role in ensuring that the company operates within the legal framework of Kenya while upholding the highest standards of governance and ethical practice.

As the Company Secretary & Legal Officer, you will serve as the primary liaison between the company, regulatory bodies, and external legal partners. You will oversee statutory filings, board documentation, compliance audits, and legal risk assessments. Additionally, you will provide legal guidance on contracts, employment matters, operational policies, and commercial agreements to support the hotel’s day‑to‑day and long‑term strategic objectives.

This position requires a professional who is organized, analytical, and able to manage multiple priorities with discretion and integrity. You will work closely with senior leadership, offering insights that strengthen decision‑making and protect the company’s interests. Your ability to interpret legislation, anticipate risks, and maintain strong governance structures will be essential to the success of our Kenya operations.

Duties & Responsibilities

  • Oversee all company secretarial functions, including statutory filings and compliance
  • Prepare board papers, minutes, resolutions, and governance documentation
  • Ensure compliance with Kenyan laws, regulatory requirements, and industry standards
  • Provide legal advice on contracts, agreements, and operational matters
  • Review, draft, and negotiate commercial contracts
  • Conduct legal risk assessments and recommend mitigation strategies
  • Liaise with government agencies, regulators, and external legal counsel
  • Maintain company records, registers, and corporate documents
  • Support HR and management on employment law matters
  • Advise leadership on governance best practices and policy development

Requirements

  • Bachelor’s degree in Law (LLB); Advocate of the High Court of Kenya preferred
  • Certified Public Secretary (CPS) qualification is an added advantage
  • Minimum 5–7 years of experience in legal and company secretarial roles
  • Strong knowledge of Kenyan corporate, commercial, and employment law
  • Experience in hospitality, real estate, or service industries is an advantage
  • Excellent drafting, negotiation, and communication skills
  • High level of integrity, confidentiality, and professionalism
  • Strong organizational and analytical abilities
